Mine did the same thing. It was the transmission shift solenoid. Cost was about $400 for parts, filters and fluid. Had to pull out the valve body to do the swap. Not very difficult. Did you get a check engine code?

I replaced all 3 shift solenoids, the circuit board that has the temp sensor, the PCM and the problem was still there but the $5 cure took it all away

I was frustrated like none other here check out my thread if that helps

Your trans is a completely different model. His should be 545RFE.

I have a 2006 Grand Cherokee 5.7l Hemi (109k miles) with a 545rfe and out of the blue it shifted into 3rd (Limp Mode). Had multiple people scan the codes and it came up with P0700 (Transmission problem) and P0750 (Shift Solenoid).
After much debate I decided to get the Solenoid Pack ($339) from Jeep and of course filters and ATF+4. Changed out the solenoid pack and got it back up and running in about 3hrs and 15 mins. So far it is running like a champ, no shifting problems and no check engine light.

Just for others, electricaladvantage.net sells mostly electrical transmission components. They have the OEM 5-45RFE solenoid pack for about $ 250. (http://www.electricaladvantage.net/45rfe545rfe.aspx) They also have the speed sensors and line pressure sensor.
