With respect to the contract law issues, I am confident that I can handle those issues as I am an attorney.

I am confident that the dealer simply has confidence in my desire to purchase and his desire to sell the vehicle if I choose not to buy it. I don't suspect that they will order vehicles under those terms for everybody as the risk to the dealer might become too great.

I am not overly concerned that I will order the jeep and then find that the dealer has decided to sell it to somebody else instead. In the event that such an issue happens, I would simply order a different jeep from a different dealer. No real loss for me. While I prefer certain options and colors, the Jeep that I desire is not a limited production model that is an absolute "must have" for me.

There are many schools of thought on a down payment. Most dealers would be glad to get your custom order if you didn't complete it because it would give them an additional allocation. My dealer has never required a down payment from me as long as the custom order was not weird and he could easily resell it. With the dealer owner and me though it is a trust issue because we know each other well. I doubt he does that with the general public. The whole idea of a down payment on a cutom order came about years ago when you actually could custom order some pretty weird combinations and dealers were getting stuck with cars they couldn't easily resell. Today the manufactures have for the most part eliminated the possibility of ordering weird combinations. The only place a down payment makes no sense is on a lease. If you total a lease car you have lost the down payment even if you have great insurance.

Back to the original poster. I tried to follow your deal. It seemed to me there was a lot of shifting of numbers going on to make it look like a better deal than it was. Be careful as some dealers use MSRP and invoice numbers interchangeably. Probably the best deal you are going to get is EP. Again most CDJR dealers will tell you that they can't negotiate from an EP price. That is not true. They are free to lose as much money as they want on a sale. For a good customer some will actually lose money on a sale because they can always make it up on the next deal or end of quarter sales bonus. I usually get 1% below EP price not 1% below invoice and definitely not 1% below MSRP. Depending on the model that would work out to be around 5 to 7 % below invoice. One word of caution, don't believe all of the numbers thrown around here on these group buys. Nobody is going to post here they are going to screw you or they got screwed. Stop and think about something. All dealers are in business to make money. No dealer is going to do a group buy where he is not going to make money one way or another, even if he uses the excuse he is a great guy and is just going to make it up in volume.
